Terms of Service and Use (TOSU)

Welcome to Sturdy Statistics! These Terms of Service (“Terms”) govern your use of our website, API, and related services (“Services”). By using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not use our Services.

1. Acceptance of Terms

By accessing or using our Services, you acknowledge that you have read, understood, and agreed to these Terms, as well as our Privacy Policy and our API Key Management Policy.

If you have a separate API License Agreement with us, that agreement governs your API usage and supersedes these Terms in any case of conflict.

2. License & Acceptable Use

Sturdy Statistics grants you a non-exclusive, non-transferable, revocable license to access and use the Services solely for your own business operations, excluding resale, redistribution, or use on behalf of third parties, subject to compliance with these Terms.

2.1 Prohibited Activities (API Security & Integrity)

You may not:

• Modify, copy, distribute, or create derivative works of the Services.
  
• Reverse engineer, decompile, or disassemble any part of the Services.
  
• Share, sell, or transfer API keys, login credentials, or access with unauthorized parties.
  
• Attempt to circumvent API security measures, gain unauthorized access, or interfere with system functionality.
  
• Exceed rate limits, make excessive API requests, or take actions that degrade performance or disrupt availability.

2.2 Restrictions on Use (How You May Use the API)

You may not use the Sturdy Statistics API to:

• Engage in illegal, fraudulent, or abusive activity, including identity theft or unauthorized data access.
  
• Use the Services to violate any applicable laws or infringe upon third-party rights.
  
• Store, transmit, or process prohibited data, including sensitive personal information unless legally permitted to do so.
  
• Develop, offer, or promote a competing service that replicates core functionality of Sturdy Statistics.

3. API Access & Accounts

You must keep your API keys secure and prevent unauthorized access; you are responsible for all activity conducted under your API credentials. If you suspect unauthorized access, you must immediately rotate or revoke the affected API key. For more information, review our API Key Management Policy.

To ensure service availability for all users, you must adhere to API rate limits as specified in our documentation. Exceeding rate limits or making excessive API requests may result in temporary suspension or termination of access.

4. Data Ownership & Privacy

You retain full ownership of any data you upload. We do not access, sell, or use your data for any purpose other than providing our Services.

Upon termination of your subscription, your data will be deleted within 30 days, unless otherwise required by law. Enterprise customers: Data retention may be subject to extended terms under your API License Agreement. You may request an export of your data before account termination. After the deletion period, your data cannot be recovered.

We implement industry-standard and commercially reasonable security measures to protect your data. However, you are responsible for securing your API keys to prevent unauthorized access. For details, review our Privacy Policy.

5. Service Availability & Uptime

For Self-Serve Subscriptions: The Service is provided on a best-effort basis, without guaranteed response times or uptime.

For Enterprise Subscriptions: We strive for 99.9% uptime, but we do not guarantee uninterrupted service. Scheduled maintenance, unforeseen disruptions, or third-party outages (e.g., AWS, Cloudflare) may impact availability. See our Service Level Agreement (SLA) for more details.

6. Fees & Payment

Subscription fees are billed monthly in advance and are non-refundable. Fees are based on selected usage tiers, which you may change in the account portal. Nonpayment may result in service suspension or termination.

You may upgrade, downgrade, or cancel your subscription via the account portal.

7. Termination & Suspension

You may terminate your account at any time by canceling your subscription. Sturdy Statistics may suspend or terminate your access if:

• You violate these Terms or pose a security risk to our systems,
  
• Payment is overdue for more than 30 days, or
  
• We discontinue your access to the Services with at least 30 days’ notice.

Upon termination, your account and all associated data will be permanently deleted within 30 days, unless extended retention is required by law or your Enterprise License Agreement. You are responsible for exporting any data prior to termination. After the deletion period, your data cannot be recovered.

7.1 Violations & Enforcement

Sturdy Statistics reserves the right to investigate and take action against any violations of these Terms. Consequences may include:

• Warning or requests for corrective action,
  
• Temporary suspension of API access, or
  
• Permanent revocation of API access for repeated or severe violations.

8. Disclaimers & Limitation of Liability

• Our Services are provided “as is” and without warranties of any kind.
  
• We are not liable for lost profits, data loss, service downtime, or indirect, incidental, or consequential damages.
  
• In all cases, our liability is limited to the total fees paid by you in the three months preceding the claim.

9. Governing Law & Disputes

This Agreement is governed by the laws of the State of California, without regard to its conflict of laws principles. Any disputes will be resolved through binding arbitration in Santa Barbara, California, per the AAA Commercial Arbitration Rules.

10. Changes to These Terms

We may update these Terms from time to time. Any changes will be posted on our website. Continued use of our Services constitutes acceptance of the latest version.
